VISTAMOTO TERMS AND CONDITIONS

Effective Date: This Terms and Conditions is effective as of June 13, 2025.

1INTRODUCTION

Vista Moto is a U.S.-based company specializing in the design and manufacture of innovative motorcycle accessories that enhance rider experience, functionality, and utility. With a commitment to quality craftsmanship and problem-solving design, Vista Moto’s products, including the TALON RIDE series, are created with direct rider input and real-world performance in mind. All products are sold directly to consumers through the company’s website, www.vistamoto.com, and are proudly made in the United States.

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you” or “Customer”) and Vista Moto (“Company,” “we,” “us,” or “our”) regarding your access to and use of the website www.vistamoto.com (the “Site”), and your purchase of any products through the Site. By accessing or using the Site or by purchasing products from us, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not use the Site or purchase any products from Vista Moto.

Vista Moto reserves the right to update, modify, or replace these Terms at any time in its sole discretion. When changes are made, we will post the revised version on this page and update the “Effective Date” at the top of the Terms. Your continued use of the Site after any changes are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically to stay informed of any updates.

2ELIGIBILITY AND USE OF WEBSITE

2.1 User Eligibility

By using this Site, you represent and warrant that you are at least 18 years of age or the age of majority in your jurisdiction and that you have the legal capacity to enter into a binding contract with Vista Moto. If you are accessing or using the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. Use of the Site is not permitted where prohibited by law.

2.2 Account Registration

Certain features of the Site may require you to create an account. If you choose to register, you agree to provide accurate, complete, and up-to-date information during the registration process and to keep this information current. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Vista Moto reserves the right to suspend or terminate your account if any information provided is found to be false, misleading, or violates these Terms.

2.3 Accuracy of Information

You agree that all information you provide to Vista Moto, whether through the Site or during checkout, is accurate, complete, and not misleading. This includes billing and shipping details, contact information, and any data submitted through product inquiries or customer support. Providing false or outdated information may result in delayed shipments, failed deliveries, or denial of service.

2.4 Prohibited Conduct

You agree not to use the Site or its content for any unlawful, abusive, fraudulent, or unauthorized purpose. Prohibited conduct includes, but is not limited to:

Vista Moto reserves the right to investigate and take appropriate legal action against users who engage in prohibited conduct, including terminating access to the Site and pursuing civil or criminal remedies as necessary.

3. PRODUCT INFORMATION

3.1 Product Descriptions

Vista Moto strives to provide accurate, detailed, and up-to-date descriptions of all products listed on the Site. This includes specifications, materials, intended uses, and visual representations. However, we do not warrant that product descriptions, photographs, or other content are free from errors, omissions, or inaccuracies. In the event that a product is listed with incorrect information, Vista Moto reserves the right to correct the error and revise the order accordingly or to cancel the order with a full refund.

3.2 Compatibility and Fitment (e.g., BMW motorcycle models)

Certain products, such as the TALON RIDE series handlebar hooks, are designed to be model-specific and may only fit designated BMW motorcycle models. It is the customer’s responsibility to ensure compatibility prior to purchase. Fitment guides and product FAQs are provided for reference but do not constitute a guarantee of fit. If you are uncertain about compatibility, please contact us at info@vistamoto.com before placing your order.

3.3 Availability and Stock Disclaimer

All products offered on the Site are subject to availability. We make every effort to maintain accurate inventory levels; however, we cannot guarantee that an item listed as “in stock” will be available at the time of order fulfillment. In the event of an out-of-stock or back-ordered item, we will notify you promptly and offer the option to wait for restocking, modify your order, or receive a full refund.

4ORDERS AND PAYMENTS

4.1 Order Acceptance

All orders placed through the Site are subject to acceptance by Vista Moto. Receipt of an order confirmation email does not constitute our acceptance of your order, nor does it guarantee product availability. We reserve the right to refuse or cancel any order at any time for reasons including, but not limited to, product unavailability, inaccuracies in pricing or product information, suspected fraud, or violation of these Terms and Conditions. If your order is canceled after payment has been processed, a full refund will be issued to your original payment method.

4.2 Pricing and Taxes

All prices listed on the Site are in U.S. dollars unless otherwise stated and are subject to change without prior notice. The price charged for a product will be the price in effect at the time the order is placed, as stated in your order confirmation email. Prices do not include applicable sales tax, shipping charges, or other fees unless expressly stated. You are responsible for all applicable taxes and duties imposed by your jurisdiction. We will collect sales tax as required by law.

4.3 Payment Methods

Vista Moto accepts major credit cards and other payment methods as made available at checkout (e.g., Visa, Mastercard, American Express, Discover, and digital wallets or platforms such as Apple Pay or Shopify Pay). By providing a payment method, you represent and warrant that you are authorized to use the designated payment instrument and authorize us to charge your total order amount to that payment method. All payments are subject to verification and approval by the payment processor.

4.4 Billing Errors and Corrections

In the event of a pricing or billing error, we reserve the right to correct the error and revise your order accordingly. If the correct price is higher than the amount charged, we will contact you before proceeding with the order. If your order has already been processed and shipped, you may be given the option to return the item in accordance with our Return Policy. Vista Moto is not responsible for typographical or system errors that result in incorrect pricing or billing.

5SHIPPING AND DELIVERY

5.1 Processing Times

Orders are typically processed within 1-3 business days after payment is received. Orders placed on weekends or public holidays will be processed the following business day. Processing time does not include transit or delivery time. You will receive a confirmation email once your order has been shipped, along with tracking information, if available.

5.2 Domestic and International Shipping

Vista Moto offers shipping to addresses within the United States and select international destinations. Availability of international shipping may vary by product and location. Customers are responsible for ensuring that the shipping address provided is accurate and complete. For international orders, you may be subject to additional customs duties, import taxes, or fees

imposed by the destination country. These charges are the sole responsibility of the recipient and are not included in the order total at checkout.

 

5.3 Shipping Charges

Shipping costs are calculated based on the destination, order size, and selected shipping method. The applicable shipping fee will be displayed at checkout before you complete your payment. Promotional offers, such as free shipping, may be applied to specific orders or periods and will be communicated on the Site.

5.4 Risk of Loss and Title

All products purchased from Vista Moto are made pursuant to a shipment contract. This means that the title and risk of loss pass to you upon our delivery of the order to the carrier. Vista Moto is not responsible for lost, stolen, or delayed shipments once the carrier has taken possession of the goods. Please get in touch with the carrier directly in such cases.

5.5 Delivery Delays

While we make every effort to ensure timely delivery, Vista Moto cannot guarantee specific delivery dates. Delays may occur due to high demand, inclement weather, customs inspections, carrier disruptions, or other unforeseen circumstances beyond our control. We are not liable for any direct or indirect losses caused by delayed delivery. If your order is significantly delayed, please contact us at info@vistamoto.com so we can assist you in tracking or resolving the issue.

6. RETURNS, EXCHANGES, AND REFUNDS

6.1 30-Day Return Policy

Vista Moto accepts returns on eligible products within 30 days of the delivery date. To qualify for a return, the item must be unused, in its original packaging, and in resalable condition. A valid proof of purchase (e.g., order number or confirmation email) is required. Items returned that do not meet these conditions may be rejected or subject to a restocking fee at Vista Moto’s discretion.

6.2 Exchange Procedure

We offer exchanges for the same item in cases of shipping errors, defects, or incorrect fitment, where applicable. To request an exchange, contact our customer service team at info@vistamoto.com within the 30-day return period. We will provide instructions for returning the original item and issuing the replacement. Exchanges are subject to stock availability. If the requested item is no longer available, a refund will be offered in its place.

6.3 Refund Eligibility and Processing

Once your return is received and inspected, we will notify you of the approval or rejection of your refund. Approved refunds will be issued to your original method of payment within 5–10 business days of confirmation. Shipping charges paid at the time of purchase are non-refundable unless the return is due to our error (e.g., an incorrect item shipped or a defective product). Refund processing times may vary depending on your financial institution.

6.4 Non-Returnable Items

The following items are not eligible for return or refund:

  • Custom or limited-edition products
  • Gift cards
  • Final sale or clearance items (where stated)

Please review the product details carefully before making a purchase, and contact us with any questions regarding compatibility or fitment.

6.5 Return Shipping Costs

Customers are responsible for the cost of return shipping unless the item is defective, damaged, or sent in error. In such cases, Vista Moto may provide a prepaid return label. We recommend using a trackable shipping service or purchasing shipping insurance, as we cannot guarantee receipt of your returned item.

6.6 Installed Products Policy

We understand that certain products, such as handlebar hooks, may need to be test-fitted to assess their compatibility. Therefore, returns will be accepted for products that have been installed only for fitment testing, provided that:

  • The product remains in like-new condition;
  • It is returned with all original packaging, hardware, and instructions;
  • There are no signs of permanent installation, wear, or damage.

We reserve the right to inspect all returned items and may refuse a refund or apply a restocking fee if the returned product is not in acceptable condition.

7. LIMITED WARRANTY

7.1 One-Year Limited Warranty Terms

Vista Moto warrants that its products will be free from defects in material and workmanship under normal use for one (1) year from the date of original purchase. This limited warranty is extended only to the original purchaser and is not transferable. The warranty applies only to products purchased directly from Vista Moto or an authorized distributor.

7.2 Warranty Exclusions

This warranty does not cover normal wear and tear, cosmetic damage or surface scratches, damage caused by misuse, abuse, accident, neglect, improper installation, or unauthorized modification, products that have been altered or tampered with in any way, issues arising from failure to follow the product’s installation or usage instructions, and use of the product on motorcycles not listed as compatible on the product page.

7.3 How to Submit a Warranty Claim

To initiate a warranty claim, please get in touch with Vista Moto by email at info@vistamoto.com within the applicable warranty period. Please provide the following information:

  • Proof of purchase (e.g., order number, receipt)
  • Description of the issue
  • Photographic evidence of the defect
  • Shipping address for potential replacement

Vista Moto may require you to return the defective product for inspection before a claim is approved.

7.4 Remedies Under Warranty

If a valid warranty claim is submitted and approved, Vista Moto will, at its discretion:

  • Repair the defective product;
  • Replace it with a new or refurbished product of equal value or
  • Issue a full or partial refund.

This limited warranty is the exclusive remedy for any covered defect and is provided in lieu of all other warranties, whether express or implied. To the fullest extent permitted by law, Vista Moto disclaims any implied warranties of merchantability or fitness for a particular purpose.

8. INTELLECTUAL PROPERTY

8.1 Ownership of Content

All content on the Vista Moto website, including but not limited to product designs, images, graphics, logos, text, videos, digital downloads, and layout, is the exclusive property of Vista Moto or its licensors and is protected by applicable intellectual property laws, including U.S. and international copyright, trademark, and trade dress laws. You acknowledge that you do not acquire any ownership rights by accessing or using the Site or its contents.

8.2 Use Restrictions

You may use the Site and its content solely for your personal, non-commercial use in accordance with these Terms. You agree not to:

  • Reproduce, distribute, modify, create derivative works from, publicly display, or exploit any portion of the Site or its contents without Vista Moto’s express written permission;
  • Use any data mining, robots, scraping, or similar data-gathering tools on the Site;
  • Reverse engineer, decompile, or attempt to extract the source code of any portion of the Site or its technology;
  • Use the Vista Moto name, content, or branding in a manner that may cause confusion or misrepresent affiliation.

 Unauthorized use may result in civil or criminal penalties and will be prosecuted to the fullest extent of the law.

8.3 Trademarks and Copyrights

All trademarks, service marks, trade names, logos, and other designations used on the Site are the registered or unregistered trademarks of Vista Moto or third parties who have authorized their use. You are not permitted to use any of these marks without the prior written consent of Vista Moto or the respective owner. All content and materials published on the Site are protected by copyright laws and may not be copied, reproduced, or distributed without permission.

9. THIRD-PARTY SERVICES

9.1 Payment Processors (e.g., Shopify, Stripe)

Vista Moto utilizes third-party service providers, including Shopify for website hosting and Stripe or similar platforms for payment processing. When you purchase through the Site, your payment information is securely transmitted to and processed by these third-party providers in accordance with their respective terms and privacy policies. Vista Moto does not store or have access to your full credit card details. By submitting payment information, you agree to be bound by the terms and conditions and privacy policies of the applicable payment processor.

Vista Moto is not liable for any errors, delays, or issues that arise from the use of third-party services, including payment authorization failures or service outages.

9.2 External Links Disclaimer

The Site may contain links to third-party websites or resources that are not owned or controlled by Vista Moto. These links are provided for your convenience only and do not imply any endorsement or affiliation. Vista Moto is not responsible for the availability, accuracy, or content of such third-party websites. You access and use third-party links at your own risk, and any transactions or interactions with those sites are solely between you and the third party. 10. DISCLAIMERS

10.1 No Professional Advice

All information provided on the Site, including product descriptions, compatibility details, installation tips, FAQs, or other guidance, is for general informational purposes only. It is not intended to constitute mechanical, safety, legal, or other professional advice. You are solely responsible for determining whether a product is suitable for your specific motorcycle and use case. If in doubt, consult a qualified technician or motorcycle professional.

10.2 Product Use at Your Own Risk

Motorcycle modifications and accessories inherently involve some risk. By purchasing and using Vista Moto products, you acknowledge and accept full responsibility for any consequences that may arise from the installation, use, or misuse of these products. Vista Moto is not liable for

damage to your vehicle, injury, or other harm resulting from incorrect installation, improper use, or failure to follow product instructions and safety precautions.

10.3 Fitment Responsibility Disclaimer

Vista Moto makes every effort to provide accurate fitment information for its products, including model-specific compatibility (e.g., with BMW motorcycles). However, it is ultimately your responsibility to verify compatibility with your specific motorcycle’s year, make, and model before purchase and installation. We encourage customers to contact us with any questions before ordering to confirm fitment. Vista Moto is not liable for returns, damage, or installation errors arising from fitment mismatches.

10.4 Site Content Accuracy

While we strive to ensure that all information on the Site is accurate and up-to-date, we do not guarantee that all content is error-free, complete, or current. This includes but is not limited to product availability, specifications, pricing, compatibility, and technical details. Vista Moto reserves the right to make changes or corrections at any time without prior notice. Reliance on any content or materials provided on the Site is at your own risk.

11. LIMITATION OF LIABILITY

11.1 Scope of Liability

To the fullest extent permitted by law, Vista Moto and its officers, employees, contractors, suppliers, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in connection with your use of the Site or any Vista Moto products. This includes, but is not limited to, damages resulting from personal injury, property damage, loss of profits, loss of data, or business interruption.

Vista Moto expressly disclaims liability for any damages resulting from improper or unauthorized installation or use of products, failure to follow safety warnings or product instructions, incompatibility with non-specified motorcycles or aftermarket parts, customer modifications or alterations to the product, and use of the Site or product in violation of applicable laws or regulations.

These limitations apply regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other legal theory, even if Vista Moto has been advised of the possibility of such damages.

11.2 Maximum Liability Cap

In no event shall Vista Moto’s total cumulative liability to you for any claims arising out of or related to these Terms, the Site, or any product purchased from the Site exceed the total amount paid by you to Vista Moto for the specific product giving rise to the claim. This limitation is a fundamental part of the bargain between you and Vista Moto and shall apply even if any limited remedy fails of its essential purpose.

12. INDEMNIFICATION

12.1 User Obligation to Indemnify Vista Moto

 You agree to indemnify, defend, and hold harmless Vista Moto, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with our use or misuse of the Site or any Vista Moto product, your breach or alleged breach of these Terms, your violation of any applicable law, regulation, or third-party rights, and any claim that your conduct caused damage to a third party. This obligation survives the termination of these Terms and your use of the Site or products.

12.2 Scope of Claims Covered

The indemnification obligation includes but is not limited to product misuse, unauthorized modification, or improper installation, negligent or unlawful operation of your motorcycle while using Vista Moto products, disputes or claims arising from content you submit to the Site (if applicable), and any legal proceedings, judgments, settlements, or investigations initiated as a result of your conduct.

Vista Moto reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully in the defense of such matters.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Jurisdiction

These Terms and any disputes arising out of or related to your use of the Site or Vista Moto products shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. You agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Massachusetts, and you hereby submit to the personal jurisdiction of those courts.

13.2 Dispute Resolution Process

Before initiating formal legal action, you agree to first attempt to resolve any dispute or claim informally by contacting Vista Moto at info@vistamoto.com with a written notice of the issue. Both parties agree to make a good-faith effort to resolve the dispute through direct negotiation for at least thirty (30) days from the date the notice is received.

13.3 Arbitration Clause

If the dispute cannot be resolved through informal negotiations, and unless otherwise prohibited by law, both you and Vista Moto agree that any claim, dispute, or controversy arising out of or relating to these Terms or your use of the Site or products shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Massachusetts unless otherwise agreed in writing.

Each party shall bear its arbitration costs and attorneys’ fees unless otherwise awarded by the arbitrator in accordance with applicable law. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

13.4 Class Action Waiver

To the fullest extent permitted by applicable law, you and Vista Moto agree that any arbitration or legal proceeding shall be conducted only on an individual basis and not as a class, collective, or representative action. You expressly waive any right to bring or participate in a class action, mass arbitration, or other consolidated proceeding.

14. TERMINATION

14.1 Termination of Access or Accounts

Vista Moto reserves the right, at its sole discretion, to suspend or terminate your access to the Site or your ability to make purchases at any time and for any reason, including but not limited to a violation of these Terms, fraudulent activity, or misuse of the Site or products. Termination may occur without prior notice, and Vista Moto shall not be liable to you or any third party for such suspension or termination.

If you have created an account, you may also terminate it at any time by contacting us at info@vistamoto.com. Upon termination, any provisions of these Terms that, by their nature, should survive termination will remain in effect.

 14.1 Survival of Terms

The termination of your access or account shall not affect any provisions of these Terms which by their nature are intended to survive, including but not limited to Intellectual Property (Section 8), Disclaimers (Section 10), Limitation of Liability (Section 11), Indemnification (Section 12), and Governing Law and Dispute Resolution (Section 13)

These provisions shall remain in full force and effect notwithstanding any termination of your use of the Site or relationship with Vista Moto.

15. Changes to Terms

Vista Moto reserves the right to revise, modify, or update these Terms at any time, at its sole discretion. Any changes will take effect immediately upon posting the revised Terms on the Site unless otherwise specified. Your continued use of the Site or purchase of products after such changes constitutes your acceptance of the updated Terms.

We will update the “Effective Date” at the top of this page whenever changes are made. While we may choose to notify you of material changes via email or through the Site, it is your responsibility to review these Terms to stay informed of any updates regularly. If you do not agree to the modified Terms, you must discontinue use of the Site and refrain from making further purchases.
